1. General provisions
These Terms of Service (the “Terms”) govern access to the USTATS website, cloud platform, applications, application programming interfaces (API), integrations and other features (the “Service”).
USTATS is designed for companies and professionals who need tools for advertising analytics and for managing customers, sales and financial performance.
By creating an account or using the Service, the user accepts these Terms. Information about the processing of personal data is provided in the separate USTATS Privacy Policy. Where consent is required for a specific type of processing, it is requested separately.
A user acting on behalf of an organization confirms that they are authorized to use the Service and to accept the Terms on its behalf.
2. Service features
Depending on the selected plan and available integrations, USTATS may include:
- USTATS Analytics — advertising analytics, performance metrics, dashboards and reports;
- USTATS CRM Inbox — management of customer conversations and requests;
- USTATS CRM Sales — customer profiles, deals, sales pipelines and tasks;
- USTATS Finance — tracking of income, expenses, payments and profitability metrics;
- USTATS AI Assistant — help with analyzing information, reports and recommendations;
- USTATS Core — management of accounts, organizations, projects, integrations and access.
The set of available features is determined by the current plan and Service settings. USTATS may update and change its functionality. Material changes affecting paid services or users’ rights are subject to the terms of the agreement and the requirements of law.
3. Accounts and access rights
Some features require registering an account and providing accurate information. The user must protect their login credentials, keep their contact information up to date and report any suspected unauthorized access.
The organization’s administrator assigns roles and access rights to employees. A user may work only with the data and features they have been granted access to.
Liability for actions performed through an account is determined by the circumstances in which they were performed, these Terms and applicable law. USTATS does not shift to the user liability for violations caused by the Service provider.
4. Connecting third-party services
USTATS may support integrations with Google Ads, Meta Ads, CRM systems and other third-party platforms. Connections are made with the user’s permission through supported authorization mechanisms, including OAuth.
The Service accesses data within the scope of the granted permissions and the features of the selected integration. The user must hold the necessary rights to the connected accounts and comply with the rules of the respective third-party platforms.
Integrations depend on the availability of external APIs and on the permissions and rules of their owners. USTATS cannot guarantee uninterrupted operation of third-party systems. The user may revoke permissions in the settings of the respective platform; the handling of previously received data is described in the Privacy Policy.
5. User data
Rights to data uploaded and connected by the user — including information about customers, deals, advertising campaigns and financial transactions — remain with their lawful rights holders.
The user grants USTATS the right to process such data only to the extent necessary to provide the Service, follow the instructions of the user or organization and comply with the law. Using USTATS does not in itself transfer ownership of such data to the provider.
An organization that uploads personal data of its customers, employees or other individuals is responsible for the lawfulness of obtaining that data and transferring it to USTATS, for having the necessary legal grounds for processing, and for providing the notices required by law. Where USTATS processes data on behalf of an organization, the relationship between the parties may additionally be governed by a data processing agreement.
6. Acceptable use
The user must not:
- use the Service for illegal activities, fraud or violation of the rights of others;
- gain unauthorized access to other people’s accounts or data;
- circumvent access restrictions and security mechanisms;
- upload malicious code, attack the infrastructure or interfere with the operation of the Service;
- collect or transfer data unlawfully;
- infringe intellectual property rights or the rules of connected APIs.
Where there are reasonable indications of a violation, USTATS may take proportionate measures to protect users and the infrastructure, including temporarily restricting access. Where possible and where it does not compromise security, the user will be notified of the reason for the restriction.
7. Analytics, financial calculations and artificial intelligence
USTATS reports and metrics are generated from third-party service data and information provided by the user. Advertising conversions, attributed revenue and other metrics may differ from actual business results due to the nature of data sources, attribution settings and update delays.
Financial metrics depend on the completeness and accuracy of the source data. USTATS does not guarantee any particular sales, advertising performance or profit and does not replace professional accounting, tax, legal or investment advice.
Where artificial intelligence features are available, their answers and recommendations may contain errors. Before making material decisions, the user should verify conclusions against primary data. Data processing by AI features is governed by the Privacy Policy and the applicable rules of third-party platforms.
8. Plans, payment and subscription cancellation
Some features may be provided under a paid subscription. Current prices, plan contents, billing period, and renewal and cancellation terms are specified when subscribing or in the current terms of the specific plan.
Taxes and mandatory charges are applied in accordance with applicable law and the information presented at checkout. Refund terms are determined by the rules of the selected plan and mandatory provisions of law.
Cancelling a subscription and deleting an account are separate actions: stopping payment does not by itself mean immediate deletion of data. The procedure for deleting data is described in the Privacy Policy.
9. Intellectual property
The software, interfaces, documentation, name and trademarks of USTATS belong to their respective rights holders.
The user receives a limited, non-exclusive and non-transferable right to use the Service within their plan and these Terms. No rights to the USTATS source code or technologies are transferred to the user.
10. Service availability and liability
USTATS takes reasonable technical and organizational measures to maintain the availability and security of the Service. Interruptions may nevertheless occur due to maintenance, failures, security incidents and issues with third-party platforms.
To the extent permitted by applicable law, USTATS is not liable for inaccuracies in source data provided by users or third parties and does not guarantee any specific commercial result. This provision does not limit liability that cannot be excluded by law or the mandatory rights of users.
11. Suspension of access, account closure and data deletion
The user may stop using the Service and request account closure through the available settings or by contacting support: ustats.analitics@gmail.com.
After a subscription ends, access to paid features may be restricted in accordance with its terms. Data is retained, deleted or anonymized as described in the Privacy Policy, taking into account mandatory retention periods and contractual obligations.
Before closing an account, the user is advised to save any information they need, if the relevant export feature is available.
12. Changes to the Terms
USTATS may change the Terms as the Service evolves or as business processes or legislation change. Users are notified of material changes through the Service, by email or by other appropriate means. Where the law requires separate acceptance of the updated Terms, such acceptance will be requested.
13. Governing law and contacts
These Terms are governed by the law of Ukraine, subject to mandatory provisions of law that cannot be excluded by agreement of the parties.
